Terms of Service

1. Acceptance of Terms
By accessing or using the Wyzion Revenue Activation Platform and any associated services, software, APIs, or websites (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" refers to that entity.
If you do not agree to these Terms, you must not access or use the Services. Wyzion reserves the right to update these Terms at any time. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes.
These Terms are effective as of March 2026.
2. Description of Services
Wyzion provides a B2B Revenue Activation Platform — a Layer 4 intelligence system that operates alongside existing enterprise CRM, CCaaS, and conversational AI infrastructure. The platform detects high-intent customer moments in real time, determines the appropriate revenue play, and delivers contextual guidance to agents and systems to drive measurable revenue outcomes.
The Services include, but are not limited to:
- The Wyzion web application and dashboard
- Real-time conversation intelligence and signal detection APIs
- Agent arming and briefing memo delivery systems
- The Revenue Readiness Assessment tool
- Pilot programme management and reporting
- Integration connectors for CRM and CCaaS platforms
- Any updates, modifications, or enhancements to the foregoing
Wyzion reserves the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice to active customers.
3. Account Registration and Access
To access certain features of the Services, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Wyzion immediately at legal@wyzion.ai of any actual or suspected unauthorised use of your account.
Wyzion may, at its sole discretion, suspend or terminate your account if it suspects that your account credentials have been compromised or that your account is being used in violation of these Terms.
Access to the Services is provided to your organisation as agreed in your order form or pilot agreement. You may not share access credentials across organisations or provide access to unauthorised third parties.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services in any way that violates applicable local, national, or international law or regulation
- Use the Services to transmit unsolicited commercial communications or engage in any form of spam
- Attempt to gain unauthorised access to any part of the Services, other accounts, or computer systems connected to the Services
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any component of the Services
- Use the Services to process data for which you do not have the necessary rights or consents
- Upload or transmit viruses, malware, or any other malicious code
- Use automated tools to scrape, crawl, or extract data from the Services without Wyzion's prior written consent
- Resell, sublicense, or otherwise make the Services available to third parties without Wyzion's written approval
- Use the Services in a manner that could damage, disable, overburden, or impair Wyzion's infrastructure or interfere with any other party's use of the Services
Wyzion reserves the right to investigate and take appropriate action against violations of this section, including suspension or termination of access and referral to law enforcement where appropriate.
5. Intellectual Property
Wyzion's intellectual property: The Services, including all software, algorithms, models, interfaces, documentation, and content developed by Wyzion, are owned by Wyzion and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Services.
Subject to your compliance with these Terms and payment of applicable fees, Wyzion grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during the term of your agreement.
Your data and content: You retain all ownership rights in the data, content, and materials you submit to the Services ("Customer Data"). You grant Wyzion a limited licence to process Customer Data solely as necessary to provide the Services and as described in our Privacy Policy.
Feedback: If you provide Wyzion with feedback, suggestions, or ideas relating to the Services, you grant Wyzion a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without obligation or compensation to you.
Aggregated data: Wyzion may use anonymised and aggregated data derived from Customer Data to improve its models, research, and Services, provided that such data does not identify you or any individual.
6. Fees and Payment
Fees for the Services are set out in your order form, pilot agreement, or separately agreed commercial terms. All fees are quoted in Indian Rupees (INR) or as otherwise specified in your agreement and are exclusive of applicable taxes unless stated otherwise.
Wyzion reserves the right to change its pricing upon reasonable notice, which will be communicated to active customers no less than 30 days in advance. Price changes will take effect at the start of your next billing period.
Invoices are payable within the timeframe specified in your agreement. Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
You are responsible for all taxes, levies, or duties imposed by tax authorities in connection with your use of the Services, including GST where applicable under Indian law, excluding taxes based on Wyzion's net income.
7. Data Privacy
Our data collection and use practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree to the collection and use of information as described in the Privacy Policy.
For enterprise customers whose use of the Services involves the processing of personal data on behalf of their end customers, a Data Processing Agreement (DPA) will be required. The DPA governs the roles, responsibilities, and obligations of both parties as data controller and data processor respectively, and takes precedence over these Terms with respect to data processing matters.
Wyzion processes all Customer Data in accordance with applicable Indian data protection law, including the Information Technology Act, 2000, and its associated rules. For customers whose end users are located in the European Union or other jurisdictions with specific data protection requirements, the DPA will include the relevant supplemental safeguards.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WYZION DOES NOT WARRANT THAT (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH CONTENT.
THE AI-POWERED FEATURES OF THE SERVICES, INCLUDING SIGNAL DETECTION, REVENUE PLAY RECOMMENDATIONS, AND AGENT BRIEFINGS, ARE PROVIDED FOR INFORMATIONAL AND GUIDANCE PURPOSES ONLY. WYZION DOES NOT GUARANTEE ANY SPECIFIC REVENUE OUTCOME, LIFT, OR PERFORMANCE IMPROVEMENT. ACTUAL RESULTS WILL VARY BASED ON FACTORS OUTSIDE WYZION'S CONTROL, INCLUDING CUSTOMER BEHAVIOUR, MARKET CONDITIONS, AND CLIENT IMPLEMENTATION.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WYZION, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF WYZION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL WYZION'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID OR PAYABLE BY YOU TO WYZION IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) INR 10,000 (TEN THOUSAND INDIAN RUPEES).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, WYZION'S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
10. Indemnification
You agree to defend, indemnify, and hold harmless Wyzion and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Services in violation of these Terms
- Your Customer Data, including any claims that your Customer Data infringes the intellectual property rights or privacy rights of a third party
- Your breach of any representation, warranty, or obligation under these Terms
- Any violation of applicable law by you in connection with your use of the Services
Wyzion reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which event you will cooperate with Wyzion in asserting any available defences.
11. Confidentiality
Each party acknowledges that it may receive confidential or proprietary information ("Confidential Information") of the other party in connection with the Services. Confidential Information includes, but is not limited to, technical data, trade secrets, business plans, financial data, customer lists, product roadmaps, and any other non-public information disclosed by either party.
Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without the prior written consent of the disclosing party; and (c) use Confidential Information solely for the purposes of performing or receiving the Services.
The obligations of confidentiality do not apply to information that: (i) is or becomes publicly available through no breach of these Terms; (ii) was known to the receiving party prior to disclosure; (iii) is independently developed by the receiving party without reference to Confidential Information; or (iv) is required to be disclosed by law, court order, or regulatory authority, provided that the receiving party gives the disclosing party prompt notice where legally permitted.
12. Termination
Either party may terminate these Terms or your access to the Services upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of receiving written notice specifying the breach.
Wyzion may immediately suspend or terminate your access to the Services without prior notice if: (a) you breach Section 4 (Acceptable Use); (b) required to do so by applicable law or a court order; or (c) your use of the Services poses a security risk to Wyzion or its other customers.
Upon termination: (i) all licences granted under these Terms immediately terminate; (ii) you must cease all use of the Services; and (iii) Wyzion will make your Customer Data available for export for a period of 30 days following termination, after which it may be deleted in accordance with our data retention practices.
Sections 5 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 11 (Confidentiality), and 13 (Governing Law) survive termination of these Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
Before initiating formal dispute resolution, both parties agree to attempt to resolve any dispute informally by contacting the other party in writing and allowing a period of 30 days for good-faith negotiation. If the dispute is not resolved within that period, either party may pursue its legal remedies in the courts of Bengaluru, Karnataka.
Notwithstanding the foregoing, Wyzion may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
14. General Provisions
Entire agreement: These Terms, together with any order forms, pilot agreements, Data Processing Agreements, and any documents incorporated by reference, constitute the entire agreement between you and Wyzion with respect to the Services and supersede all prior and contemporaneous agreements, representations, and understandings.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Waiver: No waiver by Wyzion of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition. Wyzion's failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights under them without Wyzion's prior written consent. Wyzion may assign these Terms or its rights under them without restriction, including in connection with a merger, acquisition, or sale of assets.
Notices: All notices to Wyzion under these Terms must be sent in writing to legal@wyzion.ai or to our registered address in Bengaluru, Karnataka, India. Wyzion may send notices to you via the email address associated with your account.
Force majeure: Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, acts of government, power failures, internet outages, or civil unrest.
